1. Agreement to Terms

By accessing and using Clositic ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Service.

If you disagree with any part of these terms, then you may not access the Service.

2. Service Description

Clositic is an AI-powered sales training platform that provides:

• AI-simulated sales conversation training
• Real-time speech recognition and audio processing
• Performance analytics and conversation analysis
• Company-specific training scenarios and customer personas

The Service uses third-party AI providers, including OpenAI, to generate realistic conversation simulations and analysis. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Service, you may need to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Promptly update account information to keep it accurate and complete
• Accept responsibility for all activities under your account

5. Subscription Plans and Pricing

Clositic offers multiple subscription plans:

• Starter Plan: Up to 5h of total sales conversation length
• Pro Plan: Up to 15h of total sales conversation length
• Business Plan: Up to 40h of total sales conversation length

Important: Clositic reserves the right to change pricing, subscription plans, and features at any time with reasonable notice. Current subscribers will be notified of pricing changes at least 30 days in advance. Continued use of the Service after price changes constitutes acceptance of the new pricing.

Subscription fees are billed in advance and are non-refundable except as required by law. You may cancel your subscription at any time, and cancellation will be effective at the end of your current billing period.

6. Payment Terms

Payment processing is handled by Stripe. By subscribing to a paid plan, you agree to:

• Provide valid payment information
• Authorize automatic recurring charges
• Pay all fees and applicable taxes
• Notify us of any changes to payment information

Failed payments may result in service suspension. We reserve the right to change payment terms with reasonable notice.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit harmful, harassing, or offensive content
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Share false, misleading, or deceptive information

8. AI-Generated Content and Disclaimers

IMPORTANT: The Service uses artificial intelligence to generate conversation simulations, customer personas, and performance analytics. You acknowledge and agree that:

• AI-generated content is provided "as is" without warranties of any kind
• Clositic is not responsible for the accuracy, completeness, or reliability of AI responses
• AI analytics and recommendations should not be considered professional advice
• You use AI-generated content at your own risk and discretion
• AI responses may occasionally be inappropriate, inaccurate, or biased

The AI services are powered by third-party providers including OpenAI. We do not control the underlying AI models and are not responsible for their outputs.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Clositic and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you create using the Service, but grant us a license to use, modify, and distribute such content as necessary to provide the Service.

10. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

11. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSITIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

In particular, Clositic is not liable for:

• Any decisions made based on AI-generated content or analytics
• The accuracy or reliability of AI responses or recommendations
• Any business losses resulting from use of the Service
• Third-party service interruptions or failures

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
